(“Beagle Security”, “We”, "Our", or "Us") and govern Your right to access to the Service (the "Service", or "Services") and Websites by You, Your Affiliates, Users and End-Users. In the event of a conflict between these terms of service and Our Privacy Notice, these terms of service shall prevail.

By accessing or using the Service(s) or Websites, or authorizing or permitting any User or End-User to access or use the Service(s) or Websites, You agree to be bound by these Terms. If You are entering into these Terms on behalf of a company, organization or another legal entity (an “Entity”), You are agreeing to these Terms for that Entity and representing to Us that You have the authority to bind such Entity and its Affiliates to these Terms, in which case the terms, “You", “Your” or related capitalized terms used herein shall refer to such Entity and its Affiliates. If You do not have such authority, or if You do not agree with these Terms, You must not accept these Terms and may not access or use the Service(s) or Websites.

BY USING OR ACCESSING OUR WEBSITE OR THE SERVICES, WHETHER BY CLICKING A BUTTON ON OUR WEBSITE OR OTHERWISE, YOU AGREE TO BE BOUND BY THIS TERMS OF USE AND BY THE PRIVACY POLICY, WHICH IS INCORPORATED BY REFERENCE HEREIN IN ITS ENTIRETY.

THESE TERMS OF USE AND THE PRIVACY POLICY CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND BEAGLE SECURITY THAT CONDITIONS YOUR USE OF THE SERVICES (this "Agreement"). THIS AGREEMENT CONTAINS LIMITATIONS OF LIABILITY, AND A REQUIREMENTS TO ARBITRATE CERTAIN CLAIMS. THESE PROVISIONS FORM AN ESSENTIAL BASIS OF OUR AGREEMENT. PLEASE READ AND REVIEW THIS DOCUMENT IN ITS ENTIRETY BEFORE ACCESSING, USING ANY SERVICES THROUGH OUR WEBSITE.

TO USE OUR WEBSITE OR ANY OF THE SERVICES, YOU MUST BE AT LEAST 16 YEARS OLD. IF YOU ARE LESS THAN 16 YEARS OLD, YOU MAY NOT USE OUR WEBSITE OR SERVICES. IF YOU ARE UNDER THE AGE OF 18, YOU MAY ONLY USE OUR WEBSITE OR SERVICES UNDER THE SUPERVISION OF A PARENT OR LEGAL GUARDIAN.

Your right to access and use the Websites and/or the Services is personal to you and/or any entity including but not limited to sole proprietorship, limited liability company, limited liability partnership, corporation, partnership, governmental entity of governmental body on whose behalf it is used and is not transferable by you to any other person or entity. You are only entitled to access and use the Websites and/or the Services for lawful purposes and pursuant to the terms and conditions of these Terms of Service. Your access and use of the Websites and/or the Services may be interrupted from time to time for any of several reasons, including, but not limited to, the malfunction of Company's equipment, periodic updating, maintenance or repair activities that Company may undertake from time to time, or other actions that Company, in its sole discretion, may elect to take. Company reserves the right to suspend or discontinue the availability of the Websites and/or the Services for access and use at any time in its sole discretion and without prior notice to you.

You shall protect your username and password and are solely responsible for activities that occur under or through your account, including activities initiated by third parties, whether or not such activities are authorized by you. If you allow an employee or agent to access the Service on your behalf, you shall ensure that such third party is bound by, and abides by, the terms of this Agreement. You agree to notify Beagle Security immediately of any unauthorized use of your account or any other breach of security relating to your account or your use of the Analysis Service.

You must not use or direct the Services to interact with IPs or Devices for which you are not authorized. You shall not try to falsely verify any domain that you do not own or are involved in. You must not use the Services in such a way as to create unreasonable load on IPs or Devices with which you have directed the Services to interact. To conduct any operations on subdomains in this Service, they must be part of the root domain configured as an application. You should not enter subdomains that redirect to websites or IP addresses owned by third-party vendors that are not under your ownership or authority. You are responsible for ensuring that the subdomain(s) added for testing are within the scope of the intended functionality of the application you have added. You may not use any Company IP or Device, directly or indirectly, to initiate, propagate, participate, direct or attempt any attack, hack, or crack, or send bandwidth saturation, malicious or potentially damaging network messages to any Device whether owned by Company or not. You must not direct any such attacks of any kind using any protocol at any of Company's Devices. You must not direct bots, spiders, crawlers, or any other automated process at Company's computer systems, without prior written approval. You must not, through the use of the Services or by any other means, create any unreasonable load on any of Company's Devices. You must not use the Services or Company's Devices to perform any unlawful activity including but not limited to computer crime, transmission or storage of illegal content, or content or software in violation of intellectual property and copyright laws. You must not access information on Company's Devices for which you are not authorized, or which is not made available intentionally, publicly and in accordance with Company's Privacy Statement. If you should gain access to any such information for which you are not authorized, by any method or means, or for any reason, you must report it to Company immediately and destroy all electronic or hard copies of such information. You must report incidents by email via our contact form. Any breach of the above covenants will result in immediate termination of Services and, if appropriate, referral to law enforcement authorities.

Subscription Terms

Beagle Security offers a range of subscription plans including a "Starter Plan", a “Standard Plan”, a “Professional Plan” and an “Enterprise Plan”. You can also purchase add-ons Services provided by Beagle Security as per your requirement. As an express condition of your use and access to the Beagle Security Service, you agree to pay all fees applicable to your subscription and add-ons plan (your “Plan”) and any applicable taxes in connection with your use of the Service.

The subscription period for a Plan will be based on the period chosen. You may choose to be billed for a yearly or monthly duration, but regardless of your billing cycle, you are responsible for subscription fees for the entire subscription period chosen.

Payment Terms, Refunds and Upgrade Terms

1. The fees for your Plan are billed in advance of each billing cycle, as per your Plan.
2. Your Plan shall automatically renew based on your chosen billing cycle and you authorize Beagle Security to automatically charge your credit card all subscription fees based on your use of the Services.
3. In the event you cancel your Plan, the amount billed will be non-refundable. You will not be charged again for your Plan beginning with the next billing cycle and you will have access to the Services till the end of your current subscription period.
4. In the event you downgrade your Plan, you will be charged the new rate from the next billing date.
5. If you upgrade your Plan, you will immediately be charged an amount reflecting the increased rate, and you will be charged the full amount of the new rate beginning with your next billing cycle.
6. Any discounts applied to a previous subscription may not apply to a renewed subscription, including to any automatic renewals.

Change in Fees

We may change the fees for the Service at any time or impose additional fees or charges. Such changes will be effective as of the first billing cycle that occurs more than thirty (30) days after notice of our new fees, provided that if you upgrade or downgrade to a new Plan, you will be charged at the then-current rate for such Plan.

Please be aware that any discounts applicable to previous subscriptions may not apply to renewed subscriptions.

Payment of Fees

As an express condition of your use of and access to the Services, you agree to pay all fees applicable to your Plan, and any applicable taxes in connection with your use of the Services.

To view the specific details of your Plan, including the commencement date of your next renewal period, visit the Beagle Security website, login at http://www.beaglesecurity.com/login and select “Settings”, then “Subscription”.

We reserve the right to deactivate your access to the Services for failure to pay applicable fees as described in this Agreement. Unless otherwise stated, all fees are stated in U.S. Dollars.

When you register an account on the Beagle Security website you are requested to submit certain personal information. By doing so you consent to Beagle Security’s processing of your personal information. Beagle Security will treat your personal information as confidential information and will use it for purposes including administering the provision of the Service, enhancing your use of the Services, performing internal tracking and improvements of the Services, enabling Beagle Security to contact you and analyze the volume and history of your Service usage.

For these same purposes, the Services utilize cookie technology. You may configure your browser to reject cookies, but this may affect your ability to use the Services.

Further conditions regarding Beagle Security’s processing of personal data and information is found in the Privacy Policy.

Our Service(s): We may update the Service(s) from time to time and You may receive notifications of such upgrades, enhancements or updates (“Updates”). Any new or modified features added to or augmenting or otherwise modifying the Service(s) or other updates, modifications or enhancements to the Service(s) are also subject to these Terms and We reserve the right to deploy Updates at any time.

Websites: We may also change content on Our Websites at any time. However, please note that any of the content on Our Websites may be out of date at any given time, and We are under no obligation to update it. For clarity, this sub-section refers to Our Websites excluding the Service(s). We may discontinue or change any part of Our Websites, that does not affect the Service(s), without notifying You. Our Websites may contain links to websites, content and resources provided by third parties (“Third Party Links”). These Third Party Links are governed by their own terms and privacy policies and You agree that We have no control over these Third Party Links and are not responsible for Your access or use of these Third Party Links.

The Services provide features that allow you to share your reports with others. Please be advised that sharing your reports with others may be associated with serious risks. Beagle Security strongly recommends that you consider carefully what you choose to share or by other means make public. By sharing the reports and information therein you acknowledge that you are aware of the risks associated with such sharing and you are solely responsible for the actions of those with whom you share it with.

You agree to maintain your account in a secure way. You may not reveal your user name or password or any combination thereof to others in any way or for any reason and shall have sole responsibility for keeping the confidentiality of same. In order to secure your confidentiality, Beagle Security strongly recommends that you change your password frequently.

The security of the information that you provide or generate, as part of your use of the Service, is of great importance to Beagle Security. The Service is encrypted using SSL technology.

You hereby acknowledge that reports and other information generated as part of your use of the Service are likely to contain information that is highly sensitive and should be kept confidential by you and stored at all times to avoid unauthorized access.

Ownership of IPR: Except for the rights granted to You under “Your Rights”, all rights, title and interest in and to all Our patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how and any other intellectual property and/or proprietary rights in or related to the Service(s), including the Websites, and any part of it (collectively, “Intellectual Property Rights”) shall belong to and remain exclusively with Us. We are the owner or the licensee of all Intellectual Property Rights in Our Websites, and the content or material published on it. Those works are protected by copyright laws and treaties around the world. You must not use any part of the content on Our Websites for commercial purposes without obtaining a license to do so from Us or Our licensors. Further, We claim no intellectual property rights over the content You upload or provide to the Service(s).

Grant of License to Us: We shall have a royalty-free, worldwide, transferable, sub-licensable, irrevocable and perpetual license to incorporate into the Service(s) or Websites or otherwise use any suggestions, enhancement requests, recommendations or other feedback We receive from You.

Grant of License to You: Our product and service names, and logos used or displayed on the Service(s) or Websites are Our registered or unregistered trademarks (collectively, “Marks”), and You may only use such Marks to identify You as a user of the Service(s) You have subscribed to.

Reservation of Rights: All rights not expressly provided to You herein are reserved.

You can stop using the Services at any time and you may delete your account by going to “Settings” and “General” in your account. Upon deletion of an account, all specific account information will be deleted.

Furthermore, Beagle Security reserves the right to suspend the provision of the Services or to terminate your account at any time, with or without cause, and with or without notice. Beagle Security may suspend or terminate your account if you are in breach of these Terms, or if your use of the Services would cause or risk causing legal liabilities of any kind, or otherwise disrupt others use of the Services. If Beagle Security suspend or terminate the Services or your account, Beagle Security will try to notify you in advance. However, as stated above, there are situations where Beagle Security may have to suspend or terminate your account, or the provision of the Services, immediately without prior notice.

THE WEBSITES AND THE SERVICE(S), INCLUDING ALL SERVER AND NETWORK COMPONENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. WE EXPRESSLY DISCLAIM ANY AND ALL CONDITIONS, REPRESENTATIONS, WARRANTIES OR OTHER TERMS, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.

YOU ACKNOWLEDGE THAT WE DO NOT WARRANT THAT THE SERVICE(S) OR WEBSITES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE AND YOU FURTHER ACKNOWLEDGE THAT WE DO NOT WARRANT THAT THE ACCESS TO THE SERVICE(S), WHICH IS PROVIDED OVER INTERNET AND VARIOUS TELECOMMUNICATIONS NETWORKS, ALL OF WHICH ARE BEYOND OUR CONTROL, WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR FREE FROM VIRUSES OR OTHER MALICIOUS SOFTWARE.

THE CONTENT ON OUR WEBSITES IS PROVIDED FOR GENERAL INFORMATION ONLY. IT IS NOT INTENDED TO AMOUNT TO ADVICE ON WHICH YOU SHOULD RELY. YOU MUST OBTAIN PROFESSIONAL OR SPECIALIST ADVICE BEFORE TAKING, OR REFRAINING FROM, ANY ACTION ON THE BASIS OF THE CONTENT ON OUR WEBSITES. THIS LIMITATION APPLIES TO ALL CLAIMS OR CAUSES OF ACTION INCLUDING BUT NOT LIMITED TO THOSE ARISING FROM SERVICE AVAILABILITY, YOUR ACCESS AND USE OF THIRD PARTY SERVICES, CONTENT OR SOFTWARE, OR ANY OTHER MATTER RELATING TO THE SERVICES.

YOU AGREE THAT COMPANY'S MAXIMUM AGGREGATE LIABILITY FOR ANY AND ALL DAMAGES AND CAUSES OF ACTION RELATING TO THESE TERMS OF USE AND ANY MATTERS RELATING TO COMPANY'S DELIVERY OF, OR YOUR USE OF, THE SERVICES SHALL NOT EXCEED THE MONEY PAID BY YOU TO COMPANY IN THE 12 MONTHS PRECEDING THE RELEVANT CLAIM.

You agree to indemnify and hold harmless Beagle Security, its representatives and employees for any and all claims, disputes, demands and lawsuits that may arise as a consequence of your use of the service.

Beagle Security shall NOT in any event be liable to indemnify you against any Claims made against you by others as a result of your use of the Services.

The Terms of Service and Privacy Policy shall be governed by and enforced in accordance with the laws of the Republic of India, without regard to principles of conflict of laws. Any dispute, claims arising out of or in connection with the Terms of Service, including the Privacy Policy will be heard and resolved by the courts of India, with the Trivandrum District Court as the court of first instance.
